General Terms and Conditions
1. Scope
These Terms apply to all services provided by Thaliatec (Thaar Abo Shah) to business clients and consumers, unless otherwise agreed in writing.
2. Services
Thaliatec provides:
- Web & App Development
- Custom Software Engineering
- Technical & IT Consulting
- AI Solutions & System Integration
- Workflow & Process Automation
- Cloud Architecture & Deployment
- API Development & Integrations
- UI/UX Design related to software projects
- Maintenance, Support & Optimization
The exact scope of services is defined in individual contracts or written offers.
3. Conclusion of Contract
A contract is concluded when:
- A written offer is accepted by the client, or
- A written confirmation is issued by Thaliatec.
Electronic communication (e.g., email) is sufficient.
4. Payment Terms
Invoices are payable within 14 days unless otherwise agreed in writing.
Late payments may incur statutory interest pursuant to § 288 BGB.
Thaliatec reserves the right to suspend services in case of overdue payments.
5. Client Obligations
The client must:
- Provide all necessary information and materials
- Deliver content in a timely manner
- Cooperate reasonably
Delays caused by client extend deadlines accordingly.
If required materials are not provided, Thaliatec is not responsible for resulting delays or additional costs.
6. Intellectual Property Rights
All copyrights and intellectual property rights remain with Thaliatec until full payment of the agreed remuneration.
Upon full payment, the client receives an exclusive, unlimited right of use for the delivered project, unless otherwise agreed.
Unless explicitly agreed in writing:
- Ownership of the source code does not transfer.
- Only usage rights are granted.
Thaliatec retains the right to:
- Use general know-how, ideas, concepts, and non-confidential components
- Reuse code components that are not specifically developed exclusively for the client
- Present the project for portfolio and reference purposes, unless the client expressly objects in writing.
Open-source components and third-party software remain subject to their respective licenses.
7. Acceptance of Work
If the project requires formal acceptance, the client must review and confirm acceptance within 14 days after delivery.
If no written objection is made within this period, the project is deemed accepted.
8. Liability
Thaliatec is liable without limitation in cases of:
- Intent or gross negligence
- Injury to life, body, or health
- Mandatory statutory liability
For simple negligence, liability is limited to foreseeable, typical contractual damages.
9. Confidentiality
Both parties agree to maintain confidentiality regarding all non-public business and technical information.
10. Data Protection
Personal data is processed in accordance with applicable data protection laws and the Privacy Policy published on this website.
11. Governing Law and Jurisdiction
German law applies.
If the client is a merchant within the meaning of the German Commercial Code (HGB), the place of jurisdiction is Germany.
